Terms of Service

Welcome to Sodakoq Delivery ("Sodakoq Delivery", "we", "our", or "us").

These Terms of Service ("Terms") govern your access to and use of the Sodakoq Delivery website, platform, and related services.

By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, please do not use the platform.

Sodakoq Delivery is a platform that enables users to sponsor Donation Box contributions for delivery to selected organisations in Malaysia.

Sodakoq Delivery:

• enables donors to select participating organisations
• facilitates donation-related ordering and payment
• coordinates fulfilment and delivery of Donation Box items to the selected organisation
• provides order, delivery, and activity visibility features where applicable

Sodakoq Delivery is not:

• a bank
• a payment processor
• a financial advisor
• a charity regulator
• the final beneficiary of the donated goods unless expressly stated otherwise

Our role is to operate the platform and coordinate the donation fulfilment workflow.

You must be at least 18 years old, or otherwise have the authority and legal capacity to use the platform under applicable law.

By using the platform, you represent that:

• the information you provide is accurate and not misleading
• you will use the platform lawfully
• you will not misuse the platform, attempt unauthorized access, or interfere with its operation

Sodakoq Delivery operates on a sponsorship and fulfilment model.

When you place an order on the platform:

• you are sponsoring a Donation Box for a selected organisation
• the goods are fulfilled for delivery to that organisation
• the goods are not delivered to you personally

Product descriptions, pricing, and organisation information are presented to help you make an informed donation decision. However, actual operational fulfilment may involve reasonable substitutions, process adjustments, or fulfilment handling where necessary, provided the overall donation purpose is preserved.

By placing an order, you acknowledge that this is a donation sponsorship and not a purchase of goods for personal use.

Organisations listed on the platform may be subject to Sodakoq Delivery's internal verification or onboarding processes. However, inclusion on the platform does not mean that Sodakoq Delivery guarantees every statement, representation, or outcome communicated by an organisation.

Organisations are responsible for:

• the accuracy of information they submit to the platform
• their own activities, communications, and conduct
• their downstream distribution of donated goods to their communities

Sodakoq Delivery may suspend, remove, reject, or restrict an organisation listing or related content at our discretion where operational, trust, policy, or legal concerns arise.

Sodakoq Delivery does not control and is not responsible for the independent actions or decisions of recipient organisations after delivery is completed.

If you apply for an organisation to join Sodakoq Delivery, or if you manage an organisation profile on the platform, you agree to the responsibilities below.

Certain features may require account registration.

You are responsible for:

• maintaining the confidentiality of your account credentials
• all activity occurring under your account
• promptly notifying us if you suspect unauthorized access or misuse

We may suspend, restrict, or terminate access to accounts that violate these Terms, create operational or security risks, or are used fraudulently or unlawfully.

Donation Box prices, delivery fees, and total payable amounts are shown on the platform at checkout.

Current platform payment and order behavior may include:

• one order per organisation group
• one shared payment covering multiple organisation-linked orders in a single checkout

Payments may be processed through third-party providers such as ToyyibPay, which operate under their own terms and processing rules.

By submitting payment, you authorize the applicable payment processing flow for the amount displayed at checkout.

Sodakoq Delivery does not store your full banking credentials or card account details in its application database.

We may refuse, cancel, or suspend payment-related transactions where we suspect:

• fraud
• misuse
• technical error
• duplicate transaction risk
• legal or policy non-compliance

A donation is not considered successfully completed unless the relevant payment has been successfully confirmed through the platform's payment handling process.

If a payment:

• fails
• remains pending
• is canceled
• cannot be verified

Sodakoq Delivery may treat the donation as incomplete and may delay or prevent fulfilment accordingly.

Order and payment statuses shown on the platform are provided for convenience and operational transparency. Final internal reconciliation and provider confirmation may govern the actual transaction outcome.

Once fulfilment, procurement, preparation, or delivery processing has started, cancellations and refunds are generally not available.

In general:

• payment failures do not create a successful donation
• duplicate or erroneous transactions may be reviewed for correction
• once fulfilment, procurement, preparation, or delivery processing has materially started, cancellation or refund may be unavailable
• any refund, if approved, may be subject to operational review, payment-provider constraints, and administrative handling

Sodakoq Delivery reserves the right to determine, in good faith, whether a refund, cancellation, replacement, credit, or other corrective action is appropriate based on the circumstances.

Nothing in this section limits any rights that may apply under mandatory law.

Sodakoq Delivery coordinates fulfilment and delivery to the selected organisation, not to the donor.

Delivery timelines shown or implied on the platform are estimates unless expressly stated otherwise. Delays may occur due to:

• operational constraints
• stock availability
• courier issues
• weather
• destination conditions
• verification, safety, or access issues
• other factors outside our reasonable control

Where available, the platform may show operational updates such as:

• order status
• fulfilment status
• proof of packing
• proof of delivery
• organisation activity updates

These features are intended to improve transparency, but they do not create an unconditional guarantee of exact timing, uninterrupted availability, or a specific downstream impact outcome.

Any specific operational commitments are described in our Delivery Guarantee page.

The platform may include public activity features such as donor heatmaps, donation activity feeds, organisation updates, donor messages, and related engagement surfaces.

If you submit content such as:

• donation messages
• feedback
• account profile content
• organisation-related submissions

you grant Sodakoq Delivery a non-exclusive right to host, display, process, reproduce, and use that content as reasonably necessary to operate and improve the platform.

You agree not to submit unlawful, misleading, abusive, infringing, defamatory, or harmful content.

Public donor display behavior is subject to your privacy settings. If you choose anonymous donation behavior, your public donor identity will be shown in accordance with that setting.

We may remove, restrict, edit, or refuse content at our discretion where needed for platform integrity, legal compliance, safety, moderation, or quality.

You acknowledge that certain donation-related activity may be visible publicly in accordance with your privacy settings.

Your use of the platform is also subject to our Privacy Policy, which explains how we collect, use, and protect personal data.

All platform content, design elements, branding, software, layouts, text, graphics, logos, and related materials made available by Sodakoq Delivery are owned by or licensed to us unless otherwise stated.

You may not copy, reproduce, distribute, modify, scrape, reverse engineer, or commercially exploit any part of the platform except as permitted by law or with our prior written consent.

You must not:

• use the platform for unlawful purposes
• submit false, misleading, or fraudulent information
• attempt unauthorized access to any account, system, or data
• interfere with platform security or availability
• use bots, scraping tools, or automated methods without authorization
• impersonate another person or entity
• upload malicious code or harmful material
• misuse donation, organisation, or payment flows

We may investigate suspected violations and take any action we consider appropriate, including suspension, blocking, removal of content, cancellation of activity, or reporting to authorities.

The platform may rely on or link to third-party services, including payment providers, storage providers, maps, login providers, and communications tools.

We do not control third-party services and are not responsible for their independent acts, omissions, availability, or terms. Your use of those services may also be subject to their own policies and terms.

To the fullest extent permitted by law, the platform is provided on an "as is" and "as available" basis.

While we aim to operate a trustworthy and reliable platform, we do not warrant that:

• the platform will always be uninterrupted, secure, or error-free
• all organisation content will always be complete, accurate, or current
• delivery timelines will always match estimates
• every donation will produce a specific outcome or measurable impact
• the platform will always be available without delays, interruptions, or technical issues

Sodakoq Delivery does not guarantee the exact downstream use, distribution timing, or independent conduct of recipient organisations beyond the scope of the platform's own fulfilment and operational controls.

To the fullest extent permitted by law, Sodakoq Delivery and its affiliates, officers, employees, partners, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, goodwill, data, or opportunity arising out of or related to your use of the platform.

Where liability cannot be excluded but may be limited, our aggregate liability relating to a donation transaction shall not exceed the amount actually paid by you for the affected transaction, except where a higher limit is required by applicable law.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

You agree to indemnify and hold harmless Sodakoq Delivery, its affiliates, officers, employees, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from:

• your misuse of the platform
• your breach of these Terms
• your unlawful conduct
• content or information you submit in violation of law or third-party rights

We may suspend, restrict, or terminate your access to the platform at any time if:

• you breach these Terms
• we detect fraud, abuse, or security concerns
• we are required to do so for legal, operational, or compliance reasons
• continued access creates risk to the platform or other users

Termination does not affect any rights, obligations, liabilities, or records that by their nature should survive termination.

We may modify, suspend, or discontinue any part of the platform from time to time.

We may also update these Terms. When we do, we will publish the updated version on this page and revise the "Last updated" date where appropriate.

Your continued use of the platform after updated Terms take effect constitutes acceptance of those updated Terms.

These Terms are governed by the laws of Malaysia.

Any dispute arising out of or in connection with these Terms or your use of the platform shall be subject to the applicable courts of Malaysia, unless otherwise required by mandatory law or resolved through another lawful process agreed by the parties.
